  • Handled numerous routine legal matters for life sciences companies (public and private) such as structuring, negotiating, and drafting agreements for patent and technology licensing, collaborative research and development, clinical trials, joint ventures, technology commercialization, material transfer, and confidentiality.
  • Acted as lead U.S. counsel to a foreign based company with numerous business and legal concerns in a complex master services, supply, and patent license agreement for the manufacture of diagnostic devices based on jointly developed technology.
  • Performed numerous intellectual property audits and due diligence investigations. One such project involved the potential acquisition of a foreign based chemical company for $900 million.
  • Counseled clients and drafted agreements involving Food & Drug Administration (FDA) regulatory issues such as product development and clinical research.
  • Drafted agreements for the acquisition of a pharmaceutical product consisting of a $116 million up front payment ($53.5 million cash and $62.5 million in private debt offering) plus royalties. The agreements addressed acquisition of existing inventory, transition of services (manufacturing and distribution), product supply, regulatory issues, marketing, and sales.
  • Evaluated and resolved legal issues for licensees of university intellectual property rights.
  • Advised the research and development (R&D) division of an international food processing company on a wide range of business and intellectual property issues. This includes regularly scheduled on-site visits and meetings with scientists, project leaders, and food technologists. This also includes regularly evaluating industry activity and competitors’ intellectual property rights.
  • Provided patent non-infringement opinions and forward thinking strategic intellectual property advice for a project that the client estimates will save them $19.6 million over 5 years.
  • Identified patent rights necessary for manufacture and commercialization of animal pharmaceutical products in international markets. This included terminating a licensee’s intellectual property rights in a difficult licensing relationship, and resolving patent ownership and other right-to-use issues.
  • Attended Board of Director meetings and provided updates on all legal projects, including highly technical intellectual property issues, and discussed details of legal positions relative to specific competitors.
  • Acted as lead counsel for question and answer sessions in meetings with potential licensors and licensees of technology and intellectual property rights.
